These Terms of Use ("Terms") govern your access to and use of the MagiNotes websites, apps, APIs, account features, and related services operated by ("MagiNotes", "we", "us", or "our"). By using the service, you agree to these Terms.
1. Eligibility and account use
- You must use the service lawfully and only for authorized purposes.
- You are responsible for the accuracy of the account information you provide.
- You are responsible for safeguarding your account credentials and for activity under your account.
- You must notify us promptly if you suspect unauthorized access to your account.
2. The service
MagiNotes provides tools for note capture, transcription, AI-assisted summaries and transformations, account management, billing, and related features. Features may change over time, and some features may be offered on a free, trial, paid, or limited basis.
3. Acceptable use
You agree not to:
- use the service in violation of any law or regulation
- upload or process content you do not have the right to use
- infringe intellectual property, privacy, confidentiality, or other rights
- attempt to gain unauthorized access to systems, accounts, or data
- reverse engineer, disrupt, overload, scrape, or abuse the service
- use the service to create, transmit, or facilitate harmful, fraudulent, or unlawful activity
- interfere with the experience, security, or rights of other users
4. User content
You retain your rights in the content you submit, upload, record, store, or process through the service, subject to the rights necessary for us to provide the service to you.
By using the service, you grant us a limited, non-exclusive right to host, store, process, transmit, and transform your content solely as needed to operate, secure, maintain, support, and improve the service, and to provide requested features such as transcription and AI-assisted functions.
You represent that you have all necessary rights, permissions, and lawful bases required to submit and process your content through MagiNotes.
5. AI-generated and automated outputs
MagiNotes may provide AI-generated or automated outputs such as summaries, rewrites, action lists, note structuring, or transcription results. These outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing and validating outputs before relying on them.
MagiNotes is not a substitute for legal, medical, professional, compliance, or safety-critical judgment.
6. Payments, subscriptions, credits, and billing
- Some features require payment, subscription, or usage credits.
- Pricing, entitlements, and billing models may vary by platform, region, or offer.
- Payments may be processed by app stores, payment providers, or other authorized processors.
- Credits, if used, may be subject to rules disclosed at the time of purchase or use.
- Unless required by law, purchased credits, subscriptions, and fees are generally non-refundable once used or consumed.
Where app-store billing applies, purchases and refunds may also be governed by the applicable store’s rules.
7. Availability and changes
We may modify, suspend, restrict, or discontinue features or parts of the service at any time, with or without notice, subject to applicable law and any specific commitments we make.
We do not guarantee uninterrupted availability, compatibility with every device or environment, or error-free operation.
8. Beta and preview features
Some features may be labeled beta, preview, experimental, or similar. These features may change, be withdrawn, behave unexpectedly, or have limited support.
9. Intellectual property
The service, including our branding, interfaces, software, text, graphics, design, and related materials, is owned by us or our licensors and is protected by intellectual property and other laws.
Except for the limited right to use the service in accordance with these Terms, no rights are granted to you.
10. Third-party services
The service may interoperate with or rely on third-party providers such as hosting, analytics, identity, AI, storage, app-store, and payment services. We are not responsible for third-party services, and their own terms and policies may apply.
11. Suspension and termination
We may suspend or terminate access to the service if we reasonably believe you violated these Terms, created risk or harm, engaged in abuse or unlawful conduct, or if suspension is necessary to protect the service, users, or our rights.
You may stop using the service at any time. Certain obligations in these Terms survive termination, including provisions relating to ownership, disclaimers, limitations of liability, payments due, and disputes.
12. Disclaimers
To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis. We disclaim warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, MagiNotes and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising from or related to the service.
To the maximum extent permitted by law, our aggregate liability for claims arising out of or related to the service will not exceed the greater of:
- the amount you paid us for the service in the 12 months before the claim arose, or
- USD 100 or the local currency equivalent
14. Indemnity
You agree to indemnify and hold harmless MagiNotes and its affiliates, officers, employees, contractors, and licensors from claims, losses, liabilities, damages, costs, and expenses arising out of or relating to:
- your use of the service
- your content
- your violation of these Terms
- your violation of any law or the rights of another person or entity
15. Privacy
Your use of the service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.
16. Export, sanctions, and lawful use
You may not use the service in violation of export controls, sanctions, or other applicable trade restrictions.
17. Governing law and disputes
These Terms are governed by the laws of the jurisdiction specified by MagiNotes in its final legal setup, excluding conflict-of-law principles, unless mandatory local law requires otherwise.
Before filing a formal claim, you agree to contact us first so we can try to resolve the issue informally.
18. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted here with a revised “Last updated” date. If a change is material, we may also notify you through the service or by email.
